From filing to valuation, every figure tied to its source.

U2 AI FinTech brings capital markets work onto one platform. For IPO, fund and other SPK filings, the file is pre-checked against the Board's standard and regulation. For valuation and pre-investment review, financial statements, investor presentations and contracts are read; values, ratios and flags arrive with their page or slide.

Why pre-check

One missing document means a long round of follow-up questions.

A filing has dozens of items. A forgotten required document, a skipped prospectus section or a figure that differs between the form and the prospectus comes back from the Board as a request for additional information. Most of these checks can be done before the filing is submitted.

Inside the product

One pre-check round, start to finish.

The rule set runs, the language model reads each section, and findings land in the report with their basis. The screen below is a simplified view of a room in the app.

SPK pre-check

One filing, one room, one rule set.

Each filing lives in its own room, and the document set arrives by application type. Checks run in two layers: deterministic rules and section review with a language model.

  • Items per the SPK e-filing document matrix
  • Virus scan, version history, SHA-256 digest
  • Preparer, reviewer and reader roles
01

Filing Room

The document set arrives by application type.

  • Every rule tied to a communiqué and article
  • No rule runs without counsel approval
  • A changed rule is approved again
02

Rule Set

Grounded in regulation, approved by counsel.

  • Sections, sub-items and summary elements
  • Sections not required for the offering type excluded
  • Bold warnings and summary length
03

Against the Board's Standard

Prospectus and form compared with the Board's format.

  • By severity: critical, important, informational
  • The article, its text and what to do
  • Status by section and document, as PDF
04

Deficiency Report

Findings, with their basis, in one document.

AI Content Review

Each section is read against its own rules. The language model supports every decision with a verbatim quote from the document; a decision whose quote cannot be found never becomes a finding and goes to an expert. Missing or nonconforming decisions pass a second review.

Valuation

Pick the methods, read the data from documents, see the value.

Financial statements are read by their TFRS and BOBİ line names, period headers and thousand or million multipliers; scanned documents go through OCR first. The methods you choose are weighted, and a sensitivity table and a draft report come ready.

Methods are grouped by the income, market and cost approaches of the International Valuation Standards. Output is decision support; it does not replace a report by an authorised valuation firm.

Valuation from a deck

Upload the presentation of the company you are about to invest in, as PDF or PowerPoint. Actual and target series, growth and margin indicators and the asking value are read with their slide numbers. DCF and multiple values are calculated on the management case, compared with the asking value and commented on.

  • Actual and target years marked separately
  • Currency per line item; foreign currency converted with your FX assumption
  • Comments from rules and the language model, with slide numbers
Pre-investment review

Financial and legal due diligence, in one room.

Review areas arrive as a checklist; for each area the document coverage, status, risk and notes are kept. Ratios are calculated from the financial statements, and wording that needs attention in contracts and files is flagged with its page.

Financial DD

Financial review areas from earnings quality to contingent liabilities. Ratios are calculated from the statements; an indicator past its threshold becomes a red flag.

  • Earnings quality and normalised EBITDA
  • Net debt and debt-like items
  • Working capital
  • Tax
  • Related party transactions
  • Contingent liabilities and guarantees
  • Payroll and social security
  • Capital expenditure

Legal DD

Legal review areas from incorporation to competition correspondence. Documents are scanned; wording such as change of control, mortgage or enforcement proceedings is linked to its area.

  • Incorporation, capital and shares
  • Management and representation
  • Material contracts
  • Financing and security
  • Litigation, enforcement and arbitration
  • Permits, licences and certificates
  • Employment law
  • Intellectual property
  • Personal data protection
  • Real estate
  • Competition and regulators

Flags are wording found in the documents; an expert assesses the context. Scanning speeds up the review; it does not replace it.

How it works

From room to report, in four steps.

01

Choose a module, open a room

Filing, valuation or review; the document set follows the type you choose. Invite your team and advisers with their roles.

02

Upload the documents

Every upload is scanned, versioned and encrypted with the institution key. Scanned documents go through OCR; statements and decks are read.

03

Run it

For SPK filings the rule set runs and a language model reads each section. In valuation your methods are calculated; in review, ratios and flags come out.

04

Fix and report

Download the deficiency report, the draft valuation report or the review list. For SPK filings, submit for approval with a declaration when ready. You make the filing and the decision.

Who it's for

For every desk that prepares or reviews a file.

One room with role-based access: the issuer, the brokerage, the portfolio manager, the investor, the valuation team and counsel work on the same file, and everyone sees only what they are authorised to see.

Companies preparing an IPO

Check your prospectus against the Board's format and your document set against the application type; see what would trigger follow-up questions before you file.

Brokerages

Follow several issuers' filings from one panel; manage your teams with preparer, reviewer and reader roles.

Investors and venture funds

Upload the deck of the company you are about to invest in; series and the asking value are read with slide numbers, and you get a value and commentary on your own assumptions.

Portfolio management companies

Fund prospectus, investor information form and umbrella fund bylaws, checked against the Board's standard and against each other.

Corporate finance and valuation teams

Financial statements are read from the documents; DCF, multiples, precedent transactions and net asset value in one study, with a sensitivity table and a draft report.

Companies amending their articles

In articles amendment and registered capital ceiling filings, the amendment text is compared with the articles in force.

Capital markets counsel

Findings arrive with the article behind them. The rule set goes live with your approval, and every rule version is approved separately.

Investment companies and issuers

Extensions, capital ceilings and other filings in the same room with the same rule set; a steady flow instead of a last-minute rush.

Security and data protection

Protection at the level of inside information.

IPO preparation runs on inside information. Documents are scanned on upload, encrypted with the institution key and opened only to authorised roles. Customer documents are never used to train models; data protection roles are fixed by contract.

Why U2 AI FinTech

Every finding has a basis.

01

Basis and quote

Every finding cites the communiqué and article and quotes the document verbatim; every figure read carries its page or slide. An unquoted AI decision never becomes a finding.

02

Humans decide

The rule set does not run without counsel approval. The filing, the signature and legal responsibility stay with the applicant and those who prepare the documents.

03

Native to Turkish capital markets

SPK communiqués, the Board's prospectus and form standards, the e-filing document matrix, and TFRS and BOBİ statement lines are the product's native language.

Next: source-linked drafting.

The document set and rule set the pre-check reads will become the basis for drafting in the next phase: prospectus sections and articles amendment texts as drafts with every sentence linked to its source. This feature will be developed together with pilot institutions.

FAQ

Frequently asked questions

What exactly does U2 AI FinTech do?

It organises capital markets work into six separately licensed modules. For articles, IPO, fund and other SPK filings it pre-checks the file: is the document set complete for the application type, do the prospectus and the investor information form follow the Board's standard, are the documents consistent with each other. In valuation it calculates company value from financial statements and the investor presentation; in pre-investment review it runs financial and legal due diligence with a checklist. It does not file anything and it is not a substitute for the Board's decision.

How does the valuation work?

You choose the methods: discounted cash flows, comparable company multiples, precedent transactions and adjusted net asset value, and they are weighted. Financial statements are read from the documents, with OCR first if they are scanned; you can see and correct every line read. You get a value per method, a weighted equity value, a WACC and terminal growth sensitivity table and a draft report.

What is valuation from a deck?

You upload the presentation of the company you are about to invest in, as PDF or PowerPoint. Actual and target series, growth and margin indicators and the asking value are read with their slide numbers. DCF and multiple values are calculated on the management case and compared with the asking value; inconsistencies and points of attention come as comments. Comments rely on the information in the deck and are not investment advice.

What does financial and legal DD cover?

Financial review covers earnings quality, net debt, working capital, tax, related party transactions, contingent liabilities, payroll and capital expenditure; legal review covers incorporation and shares, management and representation, material contracts, financing and security, litigation and enforcement, permits, employment, intellectual property, personal data, real estate and competition. Each area keeps a status, a risk level and notes. Wording that needs attention is flagged with its page; an expert assesses the context.

Which decisions does the AI make?

Some rules are deterministic: document presence, format, section structure and cross-document consistency. Content rules are assessed by a language model that reads the section text and supports every decision with a verbatim quote from the document. A decision whose quote cannot be found in the document, that has low confidence, or that a second review does not confirm never becomes a finding; it goes to an expert.

Who approves the rule set?

Every rule is tied to a communiqué and article, and no rule runs without approval from capital markets counsel. When a rule changes, the new version is approved again; the report states which rule set version was used.

Do you draft the prospectus as well?

Not yet. Today the product pre-checks filings. Source-linked drafting is on our roadmap and will be developed together with pilot institutions.

Is this investment advice?

No. U2 AI FinTech is a document checking and analysis tool. It does not provide investment advice, portfolio management or brokerage. Valuation outputs are decision support; they do not replace valuation reports that regulation reserves for authorised firms, or legal advice. Nothing on this site or in the product is an offer or recommendation regarding any capital markets instrument.

Are you affiliated with the Capital Markets Board?

Not at the product level. U2 AI FinTech is an independent product of U2 AI Studio Teknoloji A.Ş.; it does not imply approval, licensing or endorsement by the Capital Markets Board and it is not a substitute for the Board's decision. References to the Board and its regulations describe the regulatory context only.

How are our documents protected?

Every document is virus-scanned on upload and encrypted with a key specific to your institution; those keys are in turn protected by a master key held in a hardware security module. The application and database run in Istanbul; encrypted backups are kept in the EU (Frankfurt). Access is role-based and requires two-step verification, and every action is written to an audit log. Your documents are never used to train models.

Who is behind U2 AI FinTech?

U2 AI FinTech is a venture of U2 AI Studio Teknoloji A.Ş., a multidisciplinary team of AI and software engineers building AI products across fields from audit to human resources.

How do we get started?
